Sales & Purchase Conditions

1. General Terms

These general terms and conditions apply to all offers, deliveries, and services provided by Arpadis Benelux NV and its affiliated companies (collectively "Arpadis") unless expressly agreed otherwise in writing.

By placing an order or accepting delivery, the customer agrees to be bound by these terms and conditions.

2. Orders and Confirmation

• All orders must be confirmed in writing by Arpadis to be valid
• Prices are subject to change without notice until order confirmation
• Minimum order quantities may apply for certain products
• Arpadis reserves the right to refuse orders at its discretion

3. Pricing and Payment

• All prices are quoted ex-works unless otherwise specified
• Payment terms: Net 30 days from invoice date unless otherwise agreed
• Late payments may incur interest charges at prevailing market rates
• Arpadis reserves the right to require payment guarantees or advance payment

4. Delivery and Risk Transfer

• Delivery dates are estimates and not guaranteed unless expressly agreed
• Risk transfers to customer upon delivery ex-works or at agreed delivery point
• Customer is responsible for inspection upon receipt
• Claims for shortages or damage must be reported within 7 days of delivery

5. Quality and Compliance

• Products conform to agreed specifications at time of delivery
• Customer is responsible for verifying suitability for intended use
• Arpadis provides technical data and safety documentation as available
• All products must be handled in accordance with applicable regulations

6. Limitation of Liability

Arpadis's liability is limited to the value of the goods delivered. Arpadis excludes all liability for indirect, consequential, or punitive damages including but not limited to loss of profits, production losses, or business interruption.

These limitations apply to the fullest extent permitted by applicable law.

7. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, labor disputes, or supplier failures.

8. Governing Law

These conditions are governed by Belgian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Antwerp, Belgium.
